If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Services constitutes acceptance of any modified Terms.

AGI Affinity provides AI readiness consulting, assessments, education, and training services focused on bridging the digital divide and promoting equitable access to artificial intelligence. Our Services include but are not limited to:

• TSDOH (Technological Social Determinants of Health) Assessments
• AI literacy courses and training programs
• Professional speaking and workshops
• Consulting services
• Educational content and resources

3. User Accounts and Registration

Some Services may require you to create an account or register. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information
• Keep your login credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

4. Payment Terms

Certain Services require payment. By purchasing Services, you agree to the following:

• All fees are quoted in U.S. dollars unless otherwise specified
• Payment is due at the time of purchase or as otherwise agreed in writing
• You authorize us to charge your provided payment method
• All sales are final unless otherwise specified in a separate agreement
• We reserve the right to change pricing at any time for future purchases

Refund Policy: Refund requests for training programs must be submitted at least 14 days prior to the program start date. Refunds for assessments and consulting services are handled on a case-by-case basis. Contact us at info@agiaffinity.com for refund inquiries.

5. Intellectual Property Rights

All content, materials, and intellectual property associated with our Services—including but not limited to the TSDOH Assessment Matrix, course materials, methodologies, trademarks, logos, text, graphics, and software—are owned by AGI Affinity, LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any of our intellectual property without prior written consent, except as expressly permitted for your personal, non-commercial use of the Services.

6. User Conduct

When using our Services, you agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any fraudulent or unlawful purpose
• Interfere with or disrupt the Services or servers

7. Assessment Data and Confidentiality

When you or your organization participates in our assessments:

• Individual participant responses are confidential and anonymized
• Aggregated data may be used for reports, research, and service improvement
• Organizations receive only aggregated, anonymized reports
• We do not sell individual-level assessment data

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no guarantees regarding the accuracy, reliability, or completeness of any content or information provided through the Services.

Our assessments, training, and consulting services are for informational and educational purposes. Results and recommendations are based on the information provided and are not guarantees of specific outcomes.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AGI AFFINITY, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless AGI Affinity, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Kansas City, Missouri, in accordance with the rules of the American Arbitration Association.

13. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, and indemnification.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and AGI Affinity, LLC regarding the Services and supersede all prior agreements and understandings.
